Welcome to the Wellness Tourism Association website. These Terms of Use (“Terms”) govern your access to and use of wellnesstourismassociation.org and any related online services, resources, programs or features made available by the Wellness Tourism Association through the Website (collectively, the “Website and Services”).

The Wellness Tourism Association (“WTA,” “we,” “us,” or “our”) is operated by IWTA LLC, doing business as Wellness Tourism Association.

Please read these Terms carefully. By accessing or using the Website and Services, you agree to these Terms, our Privacy Policy and, where applicable, our Cookie Notice and any additional terms presented in connection with a particular membership, program, event, application or service. If you do not agree to these Terms, please do not use the Website or Services.

1. Eligibility and Acceptance

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase a membership, register for a paid program or service, or create an account through the Website.

By using the Website or Services, you represent that you have the legal authority to do so and agree to comply with these Terms and all applicable laws. If you are using the Website or Services on behalf of an organization, you represent that you are authorized to act on behalf of that organization.

2. Changes to These Terms

WTA may update these Terms periodically to reflect changes to our Website, Services, programs, business practices or applicable laws. When we make material changes, we will update the “Last Updated” date above and may provide additional notice when appropriate.

Your continued use of the Website and Services following the effective date of revised Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

3. Website and Services

WTA provides information, resources, membership services, educational opportunities, industry programming, research, directories, frameworks, standards, recognition and verification initiatives, events, networking opportunities and other resources relating to wellness tourism and the broader travel and wellness industries.

Information provided through the Website and Services is intended primarily for general informational, educational and professional purposes. We make reasonable efforts to keep information current and accurate but do not guarantee that all Website content will always be complete, accurate, current or error-free.

WTA may modify, discontinue, suspend or introduce Website features, programs, content or Services at any time.

4. Memberships, Programs and Paid Services

Certain WTA memberships, programs, events, applications, educational offerings and other Services may require registration, eligibility review or payment. Fees, benefits, eligibility requirements, renewal terms, cancellation policies and other conditions applicable to a particular offering will be communicated through the relevant registration, application, proposal, agreement or purchase process.

Certain WTA programs or Services may also be subject to additional terms, participation requirements or policies. If program-specific terms conflict with these Terms, the program-specific terms will govern with respect to that particular program or Service.

Except as expressly provided in applicable program-specific terms or required by law, fees paid to WTA are subject to the cancellation and refund policies communicated at the time of purchase.

WTA reserves the right to establish, modify or discontinue membership categories, benefits, pricing, programs and Services.

5. Member Accounts

Certain Services may require an account or member login. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You agree to provide accurate information and to update it when necessary.

You may not share account credentials in a manner that provides unauthorized access to member-only content or Services.

WTA may suspend or terminate an account when reasonably necessary because of misuse, nonpayment, violation of these Terms or applicable program terms, fraudulent activity, security concerns or conduct that materially harms WTA, its members or its community.

6. Standards, Frameworks, Recognition and Verification

WTA may develop, publish, support or administer industry standards, principles, frameworks, guidelines, attributes, methodologies, recognition programs, verification programs, research and other professional resources.

Unless expressly stated otherwise, these resources are intended to advance industry education, development, transparency and good practices. They do not constitute legal, medical, regulatory, safety or other professional advice.

Participation in, recognition through, verification by, or inclusion in a WTA program reflects only the criteria and process expressly identified for that particular program at the applicable time.

Membership, recognition, verification, participation, listing or inclusion in a WTA program does not constitute a guarantee or warranty by WTA regarding the quality, safety, performance, legal or regulatory compliance, financial condition or suitability of any person, business, destination, property, product, experience or service. Users remain responsible for conducting their own due diligence and making their own travel, health, business and purchasing decisions.

WTA may establish additional criteria, procedures, terms and brand-use requirements for individual recognition or verification programs.

7. Directories, Listings and Profiles

WTA may provide directories, profiles or listings of members, partners, destinations, suppliers, travel professionals, industry professionals and other organizations or individuals.

Unless expressly stated otherwise, inclusion in a WTA directory or listing does not constitute certification, verification, endorsement or recommendation by WTA.

Individuals and organizations providing information for a listing or profile are responsible for ensuring that the information they submit is accurate, current and does not infringe the rights of others. WTA may edit, decline, suspend or remove directory information or listings when reasonably necessary to maintain the quality, accuracy, integrity or appropriate use of its Website and Services.

Directory information may not be systematically harvested, scraped, copied or used for unsolicited mass marketing, data aggregation or other unauthorized commercial purposes.

8. Partnerships, Sponsorships and Commercial Relationships

WTA works with members, industry partners, sponsors and other organizations in support of its mission, programs and activities.

Membership, sponsorship, partnership, advertising, participation or financial support does not, by itself, constitute WTA’s endorsement, certification or approval of an organization or its products or services.

Where required or appropriate, WTA will identify sponsored, paid or other material commercial relationships in connection with relevant content or activities.

Participation in or financial support of WTA does not entitle any person or organization to a favorable evaluation, recognition, verification, editorial outcome or other determination unless expressly provided as part of the applicable program.

9. Events, Programs and Contributors

WTA may host or support webinars, conferences, networking events, educational programs, presentations, panels and other programming. Schedules, speakers, content, locations, formats and availability may change when reasonably necessary.

Views expressed by speakers, presenters, contributors, members, panelists or other third parties are their own and do not necessarily represent the views, policies or positions of WTA. WTA is not responsible for statements, recommendations or advice provided independently by third-party speakers, contributors or participants.

10. Wellness, Health and Travel Information

Content relating to wellness, health, travel, retreats, fitness, nutrition, hospitality or related practices is provided for general informational and educational purposes only.

WTA does not provide medical, psychological, nutritional, legal or other individualized professional advice through the Website. Information appearing on the Website should not be used as a substitute for advice from an appropriately qualified professional.

WTA does not warrant that any particular wellness practice, provider, accommodation, destination, retreat, treatment, experience, product or service is appropriate or safe for any particular individual. You are responsible for evaluating your own circumstances and obtaining appropriate professional advice when needed.

11. Intellectual Property

The Website and its content may include trademarks, service marks, logos, trade names, text, photographs, graphics, designs, videos, research, reports, standards, frameworks, methodologies, educational materials, program names, badges, seals, recognition marks, verification marks and other intellectual property.

Unless otherwise indicated, these materials are owned by WTA, licensed to WTA, jointly developed with another rights holder, or used with permission. Nothing in these Terms grants you ownership of or a license to use WTA intellectual property except as expressly provided.

You may view, download or print Website materials for your own lawful, non-commercial informational use unless otherwise indicated, provided that you do not alter the materials or remove applicable copyright, trademark or attribution notices.

You may not reproduce, republish, sell, license, distribute, modify or commercially exploit WTA materials without prior written authorization where such authorization is required.

WTA names, logos, badges, seals, verification marks, recognition marks and other brand assets may be used only with WTA’s express authorization and in accordance with any applicable licensing terms or brand-use guidelines. All third-party trademarks and intellectual property remain the property of their respective owners.

12. Automated Access, Scraping and Data Use

You may not use bots, crawlers, scrapers or other automated means to systematically extract, harvest, reproduce or compile substantial portions of the Website, membership directories, databases, research, proprietary frameworks or other WTA content without prior written authorization.

You may not use Website content to create or populate a competing directory, database, standards system, recognition program or substantially similar commercial resource without authorization.

Except where expressly permitted by WTA or applicable law, proprietary WTA content may not be systematically collected or used to train, develop or improve commercial artificial intelligence or machine-learning models.

Nothing in this section is intended to prohibit ordinary search-engine indexing or other uses expressly authorized by WTA.

13. User Submissions

You may have opportunities to submit information, photographs, logos, profiles, comments, testimonials, applications, presentations, articles or other materials (“User Content”) to WTA.

You retain ownership of User Content you submit. By submitting User Content, you represent that you own the content or have all rights and permissions necessary to provide it to WTA.

You grant WTA a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, format and reasonably adapt the User Content as necessary to administer, operate and promote WTA, its Website, membership, programs, events and related activities, consistent with the context in which the content was submitted.

You may not submit material that is unlawful, defamatory, fraudulent, misleading, infringing, harmful or that violates the rights of another person or organization. WTA may decline or remove User Content that violates these Terms or is otherwise inappropriate for the Website or Services.

14. Third-Party Websites and Services

The Website may contain links to third-party websites, platforms, products or services. WTA may also use third-party providers to support membership management, payments, registrations, communications, events, forms, analytics or other Services.

Third-party websites and services operate under their own terms and privacy practices. WTA does not control and is not responsible for their content, availability, security, privacy practices or performance. Your use of third-party services may be subject to separate terms between you and the applicable provider.

15. Privacy and Cookies

Personal information collected through the Website and Services is handled as described in WTA’s Privacy Policy. WTA uses cookies and similar technologies as described in its Cookie Notice.

Where required by applicable law, WTA will request consent before using non-essential cookies or similar technologies. Available cookie preferences may be managed through the Website’s cookie settings or other controls made available to users.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and Services are provided on an “as is” and “as available” basis.

WTA does not warrant that the Website or Services will be uninterrupted, error-free, secure or free from harmful components, or that all information will always be complete, accurate or current.

WTA makes no warranties, express or implied, regarding third-party businesses, individuals, destinations, accommodations, products, experiences or services referenced through the Website.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

17. Limitation of Liability

To the fullest extent permitted by applicable law, IWTA LLC d/b/a Wellness Tourism Association and its officers, directors, employees, contractors, representatives and affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, revenue, data, business opportunities or goodwill, arising from or relating to your use of the Website or Services.

To the fullest extent permitted by applicable law, WTA’s aggregate liability for a claim arising from a paid Service will not exceed the amount you paid to WTA for the specific Service giving rise to the claim during the twelve months preceding the event giving rise to the claim. For claims arising solely from use of the Website or a free Service, WTA’s aggregate liability will not exceed US$100.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

18. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless IWTA LLC d/b/a Wellness Tourism Association and its officers, directors, employees, contractors, representatives and affiliates from third-party claims, liabilities, damages and reasonable expenses arising from your unlawful use of the Website or Services, your material violation of these Terms, your User Content, or your infringement of another party’s rights.

19. Disputes and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Before initiating formal proceedings, you and WTA agree to make a reasonable good-faith effort to resolve any dispute arising from these Terms or the Website or Services through informal negotiation.

If a dispute cannot be resolved informally, and except where prohibited by applicable law or otherwise agreed in writing, the dispute will be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the rules applicable to the dispute. Arbitration will take place in Hillsborough County, Florida, unless the parties agree to another location or applicable law requires otherwise.

Nothing in this section prevents either party from seeking appropriate relief in small claims court where eligible or seeking temporary or emergency injunctive relief where necessary to protect intellectual property, confidential information or other rights pending resolution of a dispute.

Any court proceeding permitted under these Terms, including proceedings relating to the enforcement of an arbitration award, will be brought in a court of competent jurisdiction in Hillsborough County, Florida, except where applicable law requires otherwise.

20. Suspension and Termination

WTA may suspend or terminate access to the Website or Services when reasonably necessary because of a violation of these Terms, nonpayment, fraudulent or unlawful conduct, security concerns, misuse of WTA intellectual property, material harm to WTA or its community, or discontinuation of the applicable Service.

Termination does not affect provisions that by their nature should survive termination, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification and dispute resolution.

21. Force Majeure

WTA will not be responsible for delays, cancellations or failures to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, public health emergencies, war, civil unrest, governmental actions, labor disruptions, utility failures, internet or technology outages, cybersecurity incidents affecting third-party infrastructure, or similar events.

22. Relationship of the Parties

Your use of the Website or participation in WTA membership, programs or activities does not create an employment, agency, partnership, franchise or joint venture relationship between you and WTA.

Unless expressly authorized in writing, you may not represent that you are an employee or agent of WTA or that you have authority to act on WTA’s behalf.

23. Severability and Waiver

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

WTA’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

24. Assignment

You may not assign or transfer your rights or obligations under these Terms without WTA’s prior written consent.

WTA may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, change in organizational structure or similar transaction, subject to applicable law.

25. Entire Agreement

These Terms, together with WTA’s Privacy Policy, Cookie Notice and any applicable membership, program, purchase, application or Service-specific terms, constitute the agreement between you and WTA regarding your use of the Website and applicable Services.

Program-specific agreements or terms may supplement these Terms and will govern the applicable program where they expressly differ from these Terms.
